The Good Food CFO Software Terms and Conditions

1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of The Good Food CFO’s software-as-a-service platform, tools, dashboards, content, and related services (“Service”). By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms form a binding agreement between you (“Customer,” “User,” or “you”) and The Good Food CFO (“Company,” “we,” or “us”).

4. Account Registration
To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and all activity occurring under your account. You must notify us promptly of any unauthorized access or security breach.
We reserve the right to suspend or terminate accounts that violate these Terms.
5. Subscription, Billing & Payment
5.1 Subscription Fees
Access to the Service may require payment of subscription fees (“Fees”), which are listed on our website or order forms.
5.2 Payment Terms
Fees are billed in advance on a monthly or annual basis unless otherwise specified. By subscribing, you authorize our payment processor ThriveCart/Stripe to charge the payment method on file.
5.3 Refunds
All Fees are non-refundable, except where required by California law.
5.4 Taxes
You are responsible for any applicable taxes, duties, or government charges, excluding taxes based on our income.
6. License & Permitted Use
6.1 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.
6.2 Restrictions
You agree not to:
Copy, modify, decompile, reverse-engineer, or create derivative works of the Service
Access the Service to build a competitive product
Use the Service to transmit harmful or unlawful content
Resell, rent, or sublicense the Service
We may suspend or terminate your access for prohibited conduct.
7. Customer Data & Privacy
7.1 Ownership of Data
You retain full ownership of all data, files, financial information, or other content you upload or provide (“Customer Data”).
7.2 Our Use of Data
You grant us the right to process Customer Data solely to:
Provide the Service
Maintain, secure, and improve the Service
Offer support and troubleshooting
Generate aggregated and anonymized analytics (never personally identifiable)
7.3 Privacy Policy
Our handling of personal information is governed by our Privacy Policy, incorporated by reference.
7.4 California Privacy Rights (CCPA)
If applicable, we will comply with the California Consumer Privacy Act (CCPA). We do not sell Customer Data.
8. Service Availability & Modifications
We aim to provide reliable, continuous access to the Service. However, we do not guarantee uninterrupted operation. We may:
Perform scheduled or emergency maintenance
Improve or modify features
Discontinue non-core components
Where reasonable, we will notify users of significant changes.
9. Third-Party Tools & Integrations
The Service may integrate with third-party applications. Your use of those tools is governed by their own terms and conditions. We are not responsible for third-party service availability, data handling, or security practices.
10. Intellectual Property
All intellectual property associated with the Service—including software, designs, graphics, trademarks, content, instructional materials, and documentation—is owned by or licensed to The Good Food CFO. These Terms do not grant you ownership or intellectual property rights in the Service.
11. Termination
11.1 By You
You may terminate your subscription at any time. No refunds will be issued for prepaid periods.
11.2 By Us
We may suspend or terminate your account if you:
Violate these Terms
Fail to pay Fees
Pose a security or operational risk
11.3 Post-Termination
Upon termination:
Your access to the Service will end immediately
We may retain Customer Data for 30 days before deletion, unless required to keep it longer by law
12. Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Service will meet your requirements or operate without interruption.
13. Limitation of Liability
To the maximum extent permitted under California law:
We are not liable for indirect, incidental, special, consequential, or punitive damages
Our total liability for any claim arising from these Terms or the Service will not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim
Some limitations may not apply depending on your jurisdiction.
14. Indemnification
You agree to indemnify, defend, and hold harmless The Good Food CFO from any claims, liabilities, damages, losses, or expenses arising out of:
Your use of the Service
Your violation of these Terms
Your infringement of any third-party rights
15. Changes to Terms
We may update these Terms at any time. If changes are material, we will notify you via email or through the Service. Continued use of the Service constitutes acceptance of the revised Terms.
16. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in California.

The information, tools, reports, metrics, templates, forecasts, or other content provided through the Service are for informational and educational purposes only and do not constitute professional financial, accounting, tax, or legal advice.

Content generated by or accessed through the Service is not a substitute for the professional judgment of a certified public accountant (CPA), attorney, or other licensed professional.
